Welcome to ApplyScore (the "Platform" or "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Platform, including any content, functionality, and services offered on or through the Platform (collectively, the "Services"). The Platform is an AI-powered resume analysis service designed to help job seekers optimize their resumes against specific job descriptions.

By accessing, browsing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services. These Terms form a binding legal agreement between you ("User," "you," or "your") and ApplyScore.

We reserve the right to modify these Terms at any time. Any changes will be posted on the Platform with an updated effective date, and continued use of the Services after such posting constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

Article 1: Acceptance of Terms and Eligibility

1.1 Agreement to Terms

You represent and warrant that you are at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater, and possess the legal capacity to enter into these Terms. By using the Services, you affirm that you meet these eligibility requirements and agree to comply with all applicable laws, rules, and regulations.

1.2 Electronic Communications

By providing your email address to us, you consent to receive communications from us electronically, including payment receipts, analysis results, service updates, or promotional materials. You agree that all agreements, disclosures, and notices provided electronically satisfy any legal requirement that such communications be in writing. You may opt out of promotional communications at any time.

Article 2: Description of Services

2.1 Overview of Services

The Services provide an AI-powered platform where Users upload resumes (PDF or DOCX format) and provide job descriptions to receive match scores, improvement recommendations, and optimization insights. Each analysis is a one-time transaction with results accessible via a unique, shareable link.

2.2 Pay-Per-Use Model

ApplyScore operates on a pay-per-use model. Each resume analysis costs $4.99 USD, payable in advance via credit card processed through Stripe, Inc. ("Stripe"). There are no subscriptions or recurring charges unless you choose to purchase additional analyses. Promotional codes may offer discounts or free analyses.

2.3 Third-Party Integrations

The Services integrate with third-party providers, including Stripe for payment processing and OpenAI for AI-powered analysis. Your use of such integrations is subject to their respective terms and policies (Stripe Terms of Service, OpenAI Terms of Use), and we disclaim all liability arising from third-party services.

Article 3: User Responsibilities

3.1 Accurate Information

You agree to provide accurate, current, and complete information when using the Services. You are solely responsible for the content you upload and the job descriptions you provide.

3.2 Ownership and Authorization

You represent and warrant that you own the resume content you upload or have explicit permission from the resume owner to analyze it. You may not upload resumes belonging to others without authorization. Violation of this provision may result in immediate termination of access and legal action.

3.3 Legitimate Use

The Services are intended for legitimate job search and career development purposes. You agree not to use the Services for any unlawful purpose, to reverse engineer or exploit the Platform, to upload malicious files or content, or to attempt unauthorized access to our systems or data.

Article 4: Payment Terms

4.1 Pricing

Each resume analysis costs $4.99 USD (or local currency equivalent). Pricing is exclusive of applicable taxes, fees, or charges imposed by governmental authorities or payment processors, which you agree to pay. We reserve the right to modify pricing with reasonable notice.

4.2 Payment Processing

All payments are processed securely through Stripe. You authorize us and Stripe to charge your designated payment method for the analysis fee. Payment must be completed before analysis begins. We do not store your credit card information directly.

4.3 Promotional Codes

Promotional codes may be offered at our discretion and are subject to specific terms, including expiration dates and usage limits. Promotional codes may not be combined with other offers, transferred, or redeemed for cash. We reserve the right to deactivate promotional codes at any time.

4.4 No Refunds Except as Stated

All fees are non-refundable except as expressly provided in Article 5 (Refund Policy). Once analysis is completed and results are delivered, no refund will be issued.

Article 5: Refund Policy

5.1 Eligible Refund Circumstances

We offer full refunds only under the following circumstances: (a) Technical failure: If our service fails to process your resume due to technical issues on our end (not user error), (b) Unsupported format: If we cannot process your resume format despite meeting our stated requirements (PDF or DOCX), (c) Service unavailability: If the service is unavailable for extended periods preventing analysis completion, or (d) Duplicate charges: If you are charged multiple times for the same analysis due to technical error.

5.2 Non-Refundable Circumstances

Refunds are NOT available for: (a) Change of mind after receiving analysis results, (b) Dissatisfaction with match score or recommendations (our AI provides objective analysis based on your inputs), (c) User error in file upload or job description entry, (d) Misunderstanding of service features or capabilities, or (e) Resume content issues (e.g., poorly formatted resumes that are technically readable but yield suboptimal results).

5.3 Refund Process

To request a refund, contact support@hiir.me within seven (7) days of purchase with your transaction details and reason for the request. We will investigate and respond within five (5) business days. Approved refunds will be processed to your original payment method within ten (10) business days.

Article 6: File Requirements and Limitations

6.1 Supported Formats and Specifications

Resumes must be in PDF or Microsoft Word (.docx) format, maximum file size of 4MB, contain readable text (not scanned images without OCR), be in English language, and not be password-protected or encrypted. Files not meeting these requirements may fail to process and are not eligible for refunds.

6.2 Data Retention and Deletion

Uploaded resume files are stored securely and automatically deleted thirty (30) days after upload. Analysis results remain accessible indefinitely via unique links unless you request deletion. You may request immediate deletion of your files by contacting support@hiir.me.

6.3 Content Restrictions

You may not upload files containing malware, viruses, or malicious code; copyrighted content without authorization; personal information of others without consent; or illegal, defamatory, or offensive content. Violation may result in immediate account termination and reporting to authorities.

Article 7: AI Analysis Disclaimer

7.1 Nature of AI Analysis

Our AI-powered analysis provides automated suggestions, match scores, and recommendations based on algorithmic processing of your resume and job description. Results should be used as guidance and one data point among many in your job search strategy, not as absolute truth or definitive career advice.

7.2 Limitations and No Guarantees

AI analysis may not capture all nuances of human evaluation, recruiting preferences, or industry-specific requirements. Results do not guarantee job application success, interview invitations, or employment outcomes. The AI is continuously improved but may contain errors, biases, or limitations inherent in machine learning models.

7.3 User Discretion

You acknowledge and agree that final hiring decisions are made by human recruiters and employers, not by ApplyScore. You should use your own judgment and seek additional professional career advice where appropriate. We are not responsible for any employment-related decisions you make based on our analysis.

Article 8: Intellectual Property Rights

8.1 Your Content

You retain all ownership rights to your resume content and job descriptions. By uploading content, you grant us a limited, non-exclusive, royalty-free license to store, process, and analyze such content solely for providing the Services to you. We do not claim ownership of your content.

8.2 Platform Ownership

The Services, including all text, graphics, logos, software, algorithms, analysis methodology, and underlying technology, are owned by ApplyScore or its licensors and protected by United States and international copyright, trademark, patent, and other intellectual property laws. No license or ownership rights are granted except as expressly provided herein.

8.3 Trademarks

ApplyScore trademarks, service marks, and logos are proprietary and may not be used without prior written consent. Any unauthorized use constitutes trademark infringement and unfair competition.

8.4 Feedback

Any suggestions, feedback, ideas, or recommendations you provide regarding the Services ("Feedback") become our property without compensation, and you grant us a perpetual, irrevocable, worldwide license to use such Feedback for any purpose, including improving the Services or developing new features.

Article 9: Prohibited Conduct

9.1 General Restrictions

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms
  • Upload resumes or content you do not own or have permission to analyze
  • Impersonate any person or entity or falsely represent your affiliation
  • Upload viruses, malware, or malicious code
  • Scrape, copy, reverse-engineer, or decompile the Services or algorithms
  • Interfere with the Services' operation or security
  • Use automated tools, bots, or scripts to access the Services
  • Resell, redistribute, or commercialize the Services without authorization
  • Attempt to gain unauthorized access to systems, accounts, or data
  • Violate any third-party intellectual property or privacy rights

9.2 Consequences of Violation

Violation of this Article may result in immediate suspension or termination of your access to the Services, without notice, refund, or liability to us. We reserve the right to investigate violations and cooperate with law enforcement authorities. You may be held liable for damages resulting from your violations.

Article 10: Service Availability and Modifications

10.1 Uptime and Maintenance

We strive to maintain high service availability but cannot guarantee 100% uptime. We may perform scheduled or emergency maintenance that temporarily affects service availability. We will provide reasonable advance notice of planned maintenance where feasible.

10.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We may add or remove features, change pricing (with notice), or update AI algorithms to improve accuracy.

10.3 No Liability for Unavailability

We are not liable for any loss, inconvenience, or damage resulting from service unavailability, except as provided in our Refund Policy (Article 5).

Article 11: Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, disclose, and protect your personal information and resume content. The Privacy Policy is incorporated into these Terms by reference.

Article 12: Disclaimers

12.1 As-Is Basis

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12.2 No Employment Guarantees

WE DO NOT GUARANTEE JOB PLACEMENTS, INTERVIEW INVITATIONS, EMPLOYMENT OUTCOMES, OR THE ACCURACY OF AI ANALYSIS. YOUR USE OF THE SERVICES AND RELIANCE ON RESULTS IS AT YOUR OWN RISK.

12.3 Third-Party Content and Services

WE DISCLAIM ALL LIABILITY FOR THIRD-PARTY CONTENT, SERVICES, LINKS, OR INTEGRATIONS ACCESSED VIA THE SERVICES, INCLUDING STRIPE AND OPENAI.

Article 13: Limitation of Liability

13.1 Cap on Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, APPLYSCORE'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SPECIFIC ANALYSIS GIVING RISE TO THE CLAIM (CURRENTLY $4.99 USD).

13.2 Exclusion of Consequential Damages

IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, OR EMPLOYMENT-RELATED LOSSES, EVEN IF ADVISED OF THEIR POSSIBILITY.

13.3 Force Majeure

WE SHALL NOT BE LIABLE FOR DELAYS OR FAILURES DUE TO CAUSES BEYOND OUR REASONABLE CONTROL, INCLUDING ACTS OF GOD, NATURAL DISASTERS, WARS, STRIKES, INTERNET OR CLOUD SERVICE OUTAGES, OR GOVERNMENT ACTIONS.

Article 14: Indemnification

You agree to indemnify, defend, and hold harmless ApplyScore, its affiliates, officers, directors, employees, contractors, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your breach of these Terms, (b) your resume content or job descriptions, (c) your violation of any third-party rights (including intellectual property or privacy rights), (d) your misuse of the Services, or (e) your violation of applicable laws.

Article 15: Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of laws principles.

15.2 Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall be conducted by a single arbitrator in the English language. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15.3 Jurisdiction and Venue

For matters not subject to arbitration (such as injunctive relief), you submit to the exclusive jurisdiction of the state and federal courts located in Delaware, United States.

15.4 Exception for Small Claims

Either party may bring an individual action in small claims court instead of arbitration if the claim qualifies.

Article 16: Termination

16.1 By User

You may cease using the Services at any time. If you wish to delete your data, contact support@hiir.me. Upon termination, your obligations under these Terms survive as specified, including payment obligations, intellectual property provisions, disclaimers, and limitations of liability.

16.2 By ApplyScore

We may terminate or suspend your access to the Services at our sole discretion, with or without cause, and without liability. Grounds include, but are not limited to, breach of these Terms, fraudulent activity, abusive behavior, legal requirements, or protection of our rights or those of other users.

16.3 Effect of Termination

Upon termination, all licenses granted herein cease immediately, and you must cease using the Services. Outstanding fees remain due. Previously completed analysis results may remain accessible via unique links unless you request deletion.

Article 17: Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ApplyScore regarding the Services and supersede all prior agreements, representations, and understandings, whether written or oral.

17.2 Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

17.3 Waiver

No waiver of any breach or default shall constitute a waiver of any subsequent breach or default. Failure to enforce any provision does not constitute a waiver of that provision.

17.4 Assignment

We may assign these Terms and our rights and obligations hereunder without your consent in connection with a merger, acquisition, or sale of assets. You may not assign these Terms or any rights hereunder without our prior written approval, and any unauthorized assignment is void.

17.5 Headings

Section headings are for convenience only and do not affect interpretation of these Terms.

17.6 Survival

Provisions that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.
